Terms of Service

1. Acceptance of Terms
By accessing or using the Boss Tag platform (“Platform”), including the website at bosstag.co, mobile applications, smart contracts, and all related services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Platform.
2. Eligibility
You must be at least 18 years old and legally able to enter into binding agreements in your jurisdiction. Certain features (DeFi lending, ERS pools, marketplace transactions over $10,000) require completion of Know Your Customer (KYC) and Anti-Money Laundering (AML) verification. By using these features, you consent to identity verification procedures.
3. Platform Services
Boss Tag provides: (a) AI-powered asset verification via Boss Vision, (b) ERC-3643 compliant asset tokenization on the Polygon blockchain, (c) a peer-to-peer marketplace for buying, selling, and trading tokenized assets, (d) DeFi lending against tokenized collateral, and (e) Equipment Revenue Sharing (ERS) pools. Boss Tag is a technology platform and does not provide financial, legal, or investment advice.
4. Asset Verification
Boss Vision AI provides authentication analysis and valuation estimates based on submitted photographs, serial numbers, and documentation. Verification results represent the AI's assessment and are not guarantees of authenticity or value. Boss Tag is not liable for losses arising from incorrect or incomplete verification. Users are encouraged to seek independent professional appraisal for high-value assets.
5. Tokenization & Blockchain
Tokens minted on the Platform are ERC-3643 compliant tokens on the Polygon network. Blockchain transactions are irreversible. You are solely responsible for maintaining the security of your wallet, private keys, and seed phrases. Boss Tag cannot recover lost tokens or reverse blockchain transactions. Gas fees for on-chain transactions are paid by the user in MATIC.
6. Marketplace
The marketplace operates on an escrow model. Funds are held in smart contract escrow until the buyer confirms receipt. Platform fees (Lite: 8%, Pro: 4%, Boss Tag: 2%) are deducted from the seller's proceeds upon completion. Disputes are resolved by Boss Tag at its discretion. Auto-confirmation occurs 7 days after purchase if no dispute is filed.
7. DeFi Lending
Lending is available to Pro and Boss Tag tier subscribers with completed KYC. Loans are collateralized by your tokenized assets. If the loan-to-value ratio exceeds the liquidation threshold (120% of outstanding), or if the loan term expires without repayment, your collateral may be liquidated. Boss Tag is not responsible for losses due to liquidation, market volatility, or smart contract risks.
8. Securities Disclaimer
Certain tokens issued on the Platform, including ERS shares, fractional real estate tokens, and sports sponsorship tokens, may constitute securities. Boss Tag operates under applicable exemptions (Regulation D 506(c)) and restricts access to eligible participants. Nothing on this Platform constitutes an offer to sell securities in any jurisdiction where such offer would be unlawful.
9. Fees & Subscriptions
Subscription fees (Pro: $29/month, Boss Tag: $99/month) are billed monthly and can be cancelled at any time from the Settings page. Per-item digitization fees (Lite: $14.99) are non-refundable once verification has been initiated. All prices are in USD.
10. Limitation of Liability
Boss Tag provides the Platform “as is” without warranties of any kind. To the maximum extent permitted by law, Boss Tag shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or digital assets, arising from your use of the Platform. Total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Disputes shall be resolved through binding arbitration administered by the American Arbitration Association.
12. Changes to Terms
Boss Tag reserves the right to modify these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days before taking effect. Continued use of the Platform after changes constitutes acceptance.
